Terms of Service

1. Who we are and what you accept

These terms govern the use of BZ Agentic, the artificial intelligence assistant service provided by BZ MODE LLC (Ocala, Florida, USA). By hiring the service or using the platform, you accept these terms. If you hire on behalf of a company, you represent that you are authorized to bind it.

2. What the service includes

We set up and run AI assistants that handle conversations on the channels you hire (WhatsApp, Messenger and Instagram, and the comments on your posts and ads when you turn them on), and that take actions in the tools you connect: booking appointments, updating contact records and sending reminders.

• The exact scope (number of assistants, channels and integrations) is that of the plan you hired.
• The assistants answer from the knowledge base that you approve.
• The service always includes a way to hand the conversation to a person on your team. The assistants say they are AI assistants at the start of the conversation, and you cannot turn that notice off.

4. Your obligations

• Be the owner or administrator of the accounts you connect and have the right for us to process the conversations on your behalf.
• Comply with Meta's policies that apply to your accounts, especially the Commerce Policy, the Business Messaging Policy and the Messenger and Instagram policies.
• Obtain and keep people's consent (opt-in) before the assistant sends them promotional or re-engagement messages, and not send promotional messages outside the 24-hour window on Messenger and Instagram.
• Turn off Meta's native automatic replies that duplicate the assistant's.
• Provide accurate information in the knowledge base. The prices, timelines and terms the assistant communicates are the ones you upload.
• Handle conversation handoffs within a reasonable time.
• Not use the service for spam, unsolicited content, illegal content, impersonation, gambling, regulated substances or any category prohibited by Meta.

Breaching Meta's policies can lead Meta to restrict or close your accounts. That decision is Meta's and is outside our control. BZ may suspend a connection that breaches Meta's policies.

5. Disconnection and deletion of Meta data

When Meta notifies us that a person removed our app or requested the deletion of their data, we disconnect the corresponding account and delete its token, and the assistant stops serving it until it is connected again. The procedure is published at Data deletion.

6. What we do not guarantee

The assistants use language models. Although we limit their answers to your knowledge base and hand off to a person when in doubt, we do not guarantee that every answer is accurate or complete. Review the conversations and keep your information up to date.

We also do not guarantee specific business results: number of appointments, leads, sales or revenue.

7. Pricing, payments and platform usage

• Setup is billed in advance. The monthly fee is billed monthly in advance.
• Prices are in US dollars and do not include taxes.
• Usage of Meta's APIs (for example, WhatsApp conversations) is billed by Meta directly to your account with the payment method you register, and ad spend is paid to Meta. Neither is included in the plan and we do not resell them.
• Non-payment after 15 days' notice allows us to suspend the service.

8. Ownership

• The platform, workflows, templates and documentation are the property of BZ MODE LLC.
• Your brand, your content, your knowledge base and your customers' data are yours. We receive a limited license to use them only to provide the service to you.
• We may mention your business name and logo as a customer. If you would rather we did not, tell us in writing and we will stop.

9. Data protection

The processing of personal data is governed by the Privacy Policy. For your end customers' data, you are the controller and we are the processor: we only process it following your instructions. The data we receive from Meta is not used to train AI models and is never sold.

10. Availability and support

We work to keep the service continuously available, but there may be interruptions for maintenance or because of third-party failures (Meta, model providers, hosting). We give advance notice of scheduled maintenance. Support response times are those of the plan you hired.

11. Term and termination

• The contract is month to month and renews automatically.
• You can cancel with 30 days' notice by email. There is no penalty.
• We may end the contract with the same notice, or immediately if the service is used for illegal activities or activities that put our account with Meta at risk.
• When it ends, we hand over an export of your data and disconnect the assistants. Data is deleted within 30 days at most.

12. Liability

To the extent permitted by applicable law, our total liability to you is limited to the amount you paid for the service in the 12 months before the event giving rise to the claim. We are not liable for lost profits, lost business opportunities or indirect damages.

Nothing in these terms excludes liability for willful misconduct, gross negligence or anything the law does not allow to be limited.

13. Changes to the terms

If we change these terms, we will notify you by email at least 30 days in advance. If you disagree, you can cancel before they take effect without penalty.

14. Governing law

These terms are governed by the laws of the State of Florida, United States. Any dispute will be submitted to the competent courts of Marion County, Florida, unless a mandatory consumer protection rule provides otherwise.
